Character.AI Filed for Bankruptcy: What Happens to Your Chats and Characters?

Character.AI filed for Chapter 11 on Oct 12, 2026. What it means, what Disney's $20M bid covers, what happens to your chats, and a calm checklist for users.

If you opened Character.AI this week and saw the word "bankruptcy" in your feed, you are not alone. On October 12, 2026, Character.AI announced that it has started a voluntary Chapter 11 process to run a court-supervised sale of the company. The news is real, it is big, and it is understandably unsettling if you have spent months or years building stories and characters there.

The short answer: Character.AI is still up and running right now. Subscriptions are still active and billing is unchanged for now. The company expects a sale to be completed by the end of November or early December 2026. If no acceptable buyer emerges, Character.AI says the platform "will be wound down." Disney has agreed to be the first ("stalking horse") bidder, offering $20 million for certain assets and a licence to some intellectual property. The sensible move today is simple: request your data export, save what matters to you, and decide calmly what you want to do next.

This guide explains what Chapter 11 does and does not mean, what Disney is (and is not) buying based on current reporting, what might happen to your chats, and a practical checklist.

Update note: Our earlier post, Is Character.AI shutting down?, was written on October 6, before the bankruptcy filing. This post reflects the situation as of October 14, 2026.

What Character.AI actually announced

In its official post, An Update on Character.ai, the company said it "has initiated a voluntary Chapter 11 bankruptcy process to facilitate a court-supervised sale of the company." The key lines for users:

  • "The Character.ai platform remains up and running, and you can continue to access all services at this time."
  • Paid subscriptions "remain active, and billing is unchanged for now." The company says it intends to notify subscribers in advance if paid features change.
  • The sale is expected to be "complete by the end of November or perhaps early December 2026."
  • "If such a bid is unavailable, however, the platform will be wound down."
  • Your data "continues to be protected under our Privacy Policy," and you can still export your data or delete your account through the app or website.

According to CNBC, the filing was made in the US bankruptcy court in Delaware. The company told the court that AI entertainment "has proven to be costly to develop and grow," and that "high costs, coupled with potential litigation related liabilities and regulatory engagement" left it unable to generate enough cash to support the business in its present form.

The Verge reports that the filing lists estimated liabilities between $50 million and $100 million.

What Chapter 11 means (in plain English)

Chapter 11 is a part of US bankruptcy law that lets a company keep operating while it reorganizes or, in this case, sells itself under court supervision. It is not the same as the company switching the lights off tomorrow.

QuestionWhat Chapter 11 means here
Is the app offline? No. The company says all services remain available for now.
Is my subscription cancelled? No. Subscriptions are active and billing is unchanged for now.
Is the company being sold?Yes, that is the purpose. A court-supervised auction is planned.
Is a shutdown possible?Yes. The company says it will wind the platform down if no acceptable bid emerges.
When will we know? The company expects the sale to complete by late November or early December 2026.

The honest summary: nothing has to change for you today, but the future of the platform depends on who buys it and what they choose to do.

What is Disney buying?

This is where a lot of confusion has crept in. Disney is not simply "buying Character.AI" in the way a headline might suggest.

As a stalking-horse bidder, Disney sets the opening offer that other bidders must beat. According to The Verge, Disney would pay $20 million for certain undisclosed assets, provide transition support "using former Company employees it has hired," and receive a non-exclusive licence to unspecified intellectual property. CNBC describes the deal the same way: a stalking-horse bid to license some of the company's intellectual property for $20 million.

Notebookcheck, citing the agreement as quoted by PPC Land, reports that the licence does not cover end-user data, user inputs, or the responses generated for users, and that Disney would not take over the app or user accounts under the current bid. That means other bidders could still bid for the platform itself.

The Verge also notes that Disney recently hired Character.AI's former CEO, Karandeep Anand, as its chief technology officer, and expects some of Character.AI's technical team to join it.

So what happens to the app?

Nobody knows yet. There are roughly three paths:

  1. A buyer keeps the platform running. Your account and characters could carry on, possibly with changes to features, pricing or rules.
  2. Assets are sold off separately. Technology or IP goes one way; the consumer app may or may not survive.
  3. No acceptable bid for the platform. In that case, Character.AI says the platform will be wound down.

We will not guess which is most likely. What matters is that you do not need to wait to find out before protecting your own stories.

What happens to your chats and characters?

Right now, your chats and characters are still there, and the company says its privacy and security practices are unchanged.

The open question is what happens if the platform and its user accounts are sold to someone else. Notebookcheck points out that Character.AI's privacy policy allows certain information to be disclosed in a merger or asset sale, but does not spell out exactly which information. It also notes that US bankruptcy law provides for a consumer privacy ombudsman in some cases, and that, as of its reporting, no one had asked the court to appoint one. Notebookcheck also reports that court filings put Character.AI's current and past users at about 163 million.

If your chats matter to you, the practical answer is the same either way: keep your own copy.

A calm checklist for Character.AI users

You do not need to panic or delete anything. Work through these steps this week.

1. Request your data export today

Character.AI's help center says exports can take 3 to 4 weeks to process, and the download link it emails you is valid for 7 days. A request made now may only arrive in early November, close to the expected sale date. Our step-by-step guide on how to export your Character.AI chats walks through both the web and app routes.

2. Save your favourite characters by hand

Do not rely on the export alone. For each character you care about, copy its name, greeting, description and definition into a text file. Screenshot conversations that mean the most to you. Our guide to backing up your AI companion has a simple template.

3. Do not delete your account before the export arrives

Deletion is permanent. If you delete before your export email arrives, you lose access to your chats. If you want to leave, export first, download the file, check it opens, and only then decide about deletion.

4. Check how you pay

If you subscribed through the Apple App Store or Google Play, your subscription is managed there. If you decide to cancel, do it in the store, not just inside the app. If you are happy to stay, you do not need to do anything; billing is unchanged for now.

5. Watch for official emails, not rumours

The company says it intends to notify subscribers in advance if paid features change. Official updates will come from Character.AI's blog and email, and court documents are posted by the company's claims agent, linked from the official update. Be careful with "migration tools" or "backup services" that ask for your login.

6. Decide what you actually want

Some people will stay and see what happens. Some will try a second app in parallel. Some will move for good. All three are reasonable. If you are curious what else is out there, our roundup of Character.AI alternatives compares the main options by what they are best at.

About the lawsuits

Character.AI has faced a number of lawsuits and regulatory scrutiny over chatbot safety, and the company itself names "legal, regulatory, and operational headwinds" as part of the reason for the filing. We will not go into the details of individual cases here. What matters for adult users is that safety and regulation now shape which companion apps survive and how they are built, which is one reason more apps are restricting romantic and companion features to verified adults.

What this means for AI companions in general

The Character.AI story is a reminder of something every companion user eventually learns: the relationship lives inside a product, and products change. Apps get sold, rules change, features move, and occasionally services close. That is not a reason to avoid AI companions. It is a reason to keep your own notes, know how to export, and choose apps that are clear about what they are.

A few questions worth asking of any companion app:

  • Is it clear about who it is for? An app built for adults from the start does not need to retrofit restrictions later.
  • Does it say plainly that the companion is AI? Clear "I am an AI" framing is healthier and is becoming a legal expectation in more places.
  • Can you get your story back out? Look for export or at least an easy way to copy memories and history.
  • Is the pricing simple? Fewer surprises means fewer reasons to leave.

If you are thinking about a new home

MyBabe is an 18+ AI boyfriend and girlfriend app built around one ongoing relationship rather than a library of bots. Your companion has long-term memory, mood-aware replies, proactive texts, photos, and voice and video calls, plus Telegram chat if you prefer it. The relationship grows over time, and the companion is always upfront that it is an AI.

You can start free with around 10 messages a day and a short call trial of about 2 minutes. Premium is $5.99 a week, $14.99 a month or $99.99 a year, with around 30 minutes of calls a week. If you have a character you want to bring with you, our guide to importing an AI companion from another app shows how to reintroduce their personality and your shared history without pasting a wall of text.

No app can promise it will exist forever, and we will not pretend otherwise. What we can do is be clear about what MyBabe is: an AI companion for adults, not a person and not a counselling service.

FAQ

Is Character.AI shutting down? Not right now. The platform is up and running. The company says it will be wound down only if the sale process does not produce an acceptable bid. The sale is expected to finish by late November or early December 2026.

Did Disney buy Character.AI? Not exactly. Disney is the stalking-horse bidder, offering $20 million for certain assets and a non-exclusive licence to some intellectual property. Other bidders can still compete. Current reporting says Disney's bid does not include user data or the app itself.

Will I lose my chats? Not today. But if the platform is sold or closed, what happens to accounts depends on the outcome. Request your export now so you have your own copy.

Should I cancel my Character.AI subscription? That is your call. Subscriptions remain active and billing is unchanged for now. If you cancel, do it through the store you paid with.

Should I delete my account to protect my privacy? Only after your export has arrived and you have downloaded it, if you want your chats. Deletion is permanent.

When will we know what happens? The company expects the sale process to complete by the end of November or early December 2026. We will update this post as major news lands.

The bottom line

Character.AI's bankruptcy is a real turning point, but it is not an overnight shutdown. Use the next few weeks well: request your export, save your favourite characters by hand, avoid deleting anything in a hurry, and decide calmly where your stories go next. If you want a companion that remembers you, texts first and can talk on a call, try MyBabe free and see how it feels.
